Terms of Service for Bi-Okoto - Celebrating and Preserving African Heritage with Professionalism

1. Scope of Services Bi-Okoto offers professional African cultural performances, educational programs, workshops, and related services. These services are delivered with the highest standards of professionalism and cultural authenticity.
2. Booking and Payment Terms
- Invoices: All invoices must be paid within the specified terms listed on the invoice. Standard payment terms are net 30 days unless otherwise agreed upon in writing. Failure to adhere to these terms may result in service interruptions or cancellation of future bookings until the outstanding balance is settled.
- Deposits: A 50% non-refundable deposit is required to secure bookings. The remaining balance must be paid in full by the due date specified in the invoice.
- Late Payments: Late payments may incur a penalty of 5% of the total invoice amount for each week past the due date.
- Payment Methods: Payments can be made via check, credit card, zelle (banks@bi-okoto.com), or direct bank transfer. Details will be provided on the invoice.
3. Cancellation and Refund Policy
- Client-Initiated Cancellations: Cancellations must be made in writing. If a cancellation occurs:
- More than 30 days before the event: The deposit is retained, but no additional fees apply.
- Within 30 days of the event: The full invoice amount is due.
- Bi-Okoto-Initiated Cancellations: In rare cases where Bi-Okoto must cancel due to unforeseen circumstances, we will provide a full refund of any payments received or work with the client to reschedule.
4. Event Changes and Rescheduling
- Any changes to event details (e.g., date, time, venue) must be communicated at least 14 days in advance and may be subject to additional fees.
- Rescheduling is subject to availability and may require a new agreement.
5. Liability and Insurance
- Bi-Okoto maintains general liability insurance for all performances and activities. This coverage includes protection against property damage or personal injury resulting from our services. Clients are encouraged to verify their own insurance policies to ensure adequate coverage for venue-related liabilities or other specific needs.
- Clients are responsible for ensuring a safe and suitable venue for performances and workshops.
- Bi-Okoto is not liable for damages, delays, or interruptions caused by factors beyond our control, including but not limited to weather, power outages, or other unforeseen circumstances.
6. Intellectual Property
- All materials provided by Bi-Okoto, including but not limited to choreography, music, scripts, and workshop content, remain the intellectual property of Bi-Okoto unless otherwise agreed in writing.
- Clients may not record, reproduce, or distribute any Bi-Okoto materials without prior written consent.
7. Code of Conduct
- Bi-Okoto upholds values of respect, inclusivity, and cultural appreciation. We reserve the right to terminate services without refund if our staff or performers are subjected to inappropriate behavior or unsafe conditions.
8. Governing Law
- These terms are governed by the laws of the State of Ohio, USA. Any disputes arising under these terms shall first be subject to alternative dispute resolution methods, such as mediation or arbitration, before being resolved in a court of competent jurisdiction in Hamilton County, Ohio.
